Establishment of a limited liability company

A private limited company (OÜ) is the most common form of business entity in Estonia. There are two options for establishing an OÜ: the regular procedure with a notarized founding agreement or the expedited procedure through the E-business registry->.

In the case of the regular procedure, the entire establishment process is conducted through a notary. The business register will register the company within 5 working days. This is the only way to establish an OÜ if the founders and/or board members do not have the capability to provide a digital signature.

For expedited procedure, the establishment is done through the e-business register. The founders and board members must be able to provide a digital signature using an ID card, Mobile-ID, or Smart-ID. The company will be registered within 1 working day. As of february 1, 2023, share capital contributions no longer need to be made to the company’s bank account, and the size of the share capital is decided by the founders. The minimum capital requirement of 2500€ has been abolished as of february 1, 2023.

Establishment of a non-profit association or foundation

A non-profit association (MTÜ) is a non-profit organization that uses its income solely for achieving its statutory objectives. An MTÜ must have at least two members. The main activity of the association cannot be economic activity, and it cannot distribute its income among its members.

To establish an MTÜ, a founding agreement is concluded, which confirms the MTÜ’s goals and articles of association and appoints the board members. The founding agreement is a simple written document and does not require notarization. The application for registration can be submitted either digitally or notarized.

A foundation (SA) is a legal entity established for the administration and use of assets to achieve its statutory objectives. A foundation does not have members. The primary governing body of a foundation is the council, appointed based on the articles of association. A foundation must have an auditor.

To establish a foundation, a notarized founding decision or agreement is made, which confirms the foundation’s goals and articles of association, appoints the council and board members, and the auditor.
